Limitation of Liability

In no event shall Steel Guard Safety Corp. or any of its subsidiaries or affiliates be liable for any indirect, special, incidental or consequential damages including but not limited to loss of use, loss of data, loss of business or profit to said company. Some states do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to your company. Some of the items may not comply with California Proposition 65.

Prices

Prices are subject to change without any notice. Steel Guard Safety is not responsible for typographical errors.

Warranty Limitation

The limited warranty for any product sold by Steel Guard Safety is included in the documentation accompanying the product as provided by that product’s manufacturer. Except as specifically set forth therein, Steel Guard Safety makes no warranties, express or implied, and disclaims all other warranties, including and without limitation implied are warranties of merchantability, fitness for a particular purpose, warranties relating to Year 2000 compliance, and conformity to specific models or samples. Some states do not allow limitations on implied warranties so these limitations may not apply to you. The warranties set forth herein give you specific legal rights and you may have certain other rights that vary from state to state.

Payment Terms

Terms of payment are within Steel Guard Safety’s sole discretion unless agreed to by Steel Guard, Steel Guard must receive payment prior to Steel Guard’s acceptance of an order. Payment for the products will be made by credit card, check, wire transfer, or another prearranged payment method unless credit terms have been agreed to by Steel Guard Safety. Invoices are due and payable within the time period noted on each invoice, measured from the date of the invoice. Steel Guard may invoice parts of an order separately from each other. Orders are not binding upon Steel Guard until Steel Guard has accepted the order. Any quotations given by Steel Guard will be valid for the period stated on the quotation unless stated otherwise. Customer agrees to pay interest on all past-due sums at the highest rate allowed by or the stated amount on the invoice.

Shipping Charges & Taxes

Separate charges for shipping and handling will be printed and shown on Steel Guard’s invoice(s). You are responsible for all other applicable sales and taxes associated with the order(s). If applicable, a separate charge for taxes will be printed and shown on Steel Guard’s invoice. Steel Guard will not be responsible for delays in delivery, backorders, due to events beyond its control, including shortage of materials, labor strikes, transportation failures, or acts of God beyond control.

Title & Risk of Loss

Title to products and the risk of loss passes from Steel Guard Safety Corp. to you upon delivery to the shipping carrier.

Amendments Applicable by Law

These terms and conditions may not be amended except by a formal written agreement signed and documented by both parties. The laws of the State of Indiana shall govern this agreement.
